April 25, 1995On April 25, 1995, Charles Ray Cross, Eddie Daniel and Danny Stewart met at Stewart's home. By consensus, the group agreed that a computer was needed on the Prescott telephone exchange which could provide "dial up" access from the community and then connect to the Internet. It was determined that Prescott Schools currently have an Internet connection and that several schools and educational cooperatives across the State of Arkansas are setting up such systems. It was also discussed that the Prescott Schools should devote their funds to placing computers in the classroom, rather than providing community access, and it would therefore be the group's best role to obtain the funding for the initial costs of the computer and to operate the computer on a day-to-day basis. The group decided that it should approach the schools about the idea.Upon motion duly made, seconded and approved by consensus, it was agreed that the three persons in attendance would form such as organization, and the name of said organization shall be "The Prescott Community Freenet Association" and that it shall operate in the City of Prescott, State of Arkansas. It was agreed that the organization would be formed in accordance with section 501(c)3 of the Internal Revenue Code as a non-profit organization and is organized exclusive for the charitable purposes described above. Upon motion duly made, seconded, and approved by consensus, a set of "Bylaws" was approved as a guideline for the organization. The Bylaws call for the election of a Board of Directors. Upon motion duly made, seconded and approved by consensus, Cross, Daniel and Stewart were then elected to the Board of Directors.

April 4, 1996The Board of Directors of the Prescott Community Freenet Association met on April 4, 1996 at the home of Eddie Daniel. Those attending were Vice-Chairman Eddie Daniel, and Secretary/Treasurer Danny Stewart. In the absence of Chairman Charles Ray Cross, Daniel presided over the meeting.Daniel reported the fire that damaged the high school building on April 1 deposited a quarter-inch of smoke and water mixture on all the internal components of the computer. Stewart commented the acids in the mixture will corrode and destroy the circuity within three to 24 months. It was agreed that a replacement computer and associated peripherals would be purchased, rather than use equipment which would result in numerous problems over the coming months. Upon motions duly made, seconded, and approved by unanimous consent, the board authorized:

July 7, 1996The Board of Directors of the Prescott Community Freenet Association met on July 7, 1996 at the home of Danny Stewart. Those attending were Vice-Chairman Eddie Daniel and Secretary/Treasurer Danny Stewart. In the absence of Chairman Charles Ray Cross, Daniel presided over the meeting.Daniel declared a vacancy on the Board of Directors considering the death of Cross on May 17, 1996. Upon motions duly made, seconded and approved by consensus, Eddie Daniel and Danny Stewart were re-elected to the Board of Directors, and Joan Stuard was elected to the Board of Directors. According to Daniel, Stuard, who was absent from the meeting, has agreed to accept the position on the Board of Directors. Upon motions duly made, seconded and approved by consensus, Eddie Daniel was elected Chairman, Joan Stuard was elected Vice-Chairman, Danny Stewart was elected Secretary, and Danny Stewart was elected Treasurer.
